Welcome to Cyberensic. These Terms of Service ("Terms") govern your access to and use of our cybersecurity consulting services, GRC platform, and related services (collectively, the "Services") provided by Cyberensic ("we", "us", or "our"). Cyberensic is an Australian-owned boutique cybersecurity consultancy founded in May 2021, dedicated to delivering expert-driven cybersecurity solutions.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
Cyberensic is a boutique Australian cybersecurity consultancy that provides expert-driven cybersecurity solutions, including ISO 27001 implementation and auditing, IRAP and DISP security advisory services, cloud security architecture, GRC automation, and compliance consulting. We are proudly Australian-owned and independent. We do not sell security products or platforms; instead, we help you navigate them.

Specific services may be governed by separate written agreements ("Service Agreements") that detail the scope, deliverables, timelines, and fees for particular engagements. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall prevail with respect to that specific engagement.
As a client, you are responsible for:
All intellectual property rights in our Services, methodologies, tools, templates, and proprietary materials (collectively, "Cyberensic IP") remain the exclusive property of Cyberensic. You are granted a limited, non-exclusive, non-transferable licence to use Cyberensic IP solely in connection with the Services provided to you. You may not copy, modify, distribute, or create derivative works from Cyberensic IP without our express written permission.
Deliverables created specifically for you may be subject to different ownership arrangements as specified in the relevant Service Agreement.
Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of providing Services. This includes, but is not limited to, business plans, security configurations, vulnerabilities, and strategic information. Confidentiality obligations shall survive termination of these Terms or any Service Agreement, unless otherwise agreed in writing.
To the maximum extent permitted by law, Cyberensic's liability for any claims arising from or related to the Services is limited to the fees paid by you for the specific Service giving rise to the claim in the twelve (12) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our Services are provided on an "as-is" basis. While we strive to provide accurate and current advice, cybersecurity is a rapidly evolving field, and we cannot guarantee that our recommendations will prevent all security incidents or breaches.
You agree to indemnify, defend, and hold harmless Cyberensic, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.
Payment terms will be specified in the relevant Service Agreement. Unless otherwise agreed, invoices are due within thirty (30) days of the invoice date. Late payments may incur interest charges and may result in suspension of Services. All fees are exclusive of applicable taxes, which you are responsible for paying.
Either party may terminate a Service Agreement in accordance with its terms. We reserve the right to suspend or terminate your access to our Services immediately if you breach these Terms, fail to pay fees, or engage in any activity that we reasonably believe may harm our business or other clients.
These Terms are governed by the laws of Australia and the state or territory in which Cyberensic operates. Any disputes arising from or related to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Australia.
We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

These Terms, together with any Service Agreements, constitute the entire agreement between you and Cyberensic regarding the Services and supersede all prior agreements, understandings, and communications.
